Seyllo Services for Vendors

Effective: January 1, 2025

Preamble

These Terms of Sale (hereinafter "ToS") define the contractual conditions applicable to the subscription and use of services offered by Seyllo to Vendors.

These ToS exclusively govern the relationship between Seyllo and Vendors. The relationships between Vendors and their Customers are governed by each Vendor's own terms and conditions.

Any registration as a Vendor on the Platform implies full acceptance of these ToS.


Article 1 – Service Provider Identification

Services are provided by:

  • Trade name: Seyllo
  • Operator: LWCREATE
  • Legal form: Micro-enterprise (sole proprietor)
  • Individual entrepreneur: Léo DEBIZE

Article 2 – Definitions

  • "Seyllo" or "the Platform": means the SaaS platform accessible at www.seyllo.com allowing Vendors to create and manage online stores.
  • "Services": means all features and services provided by Seyllo to Vendors under these ToS.
  • "Vendor": means any individual or legal entity registered on the Platform using the Services to sell Virtual Products.
  • "Customer": means any person making a purchase on a Vendor's store.
  • "Virtual Products": means digital goods sold by Vendors (ranks, kits, virtual items, etc.).
  • "Store": means the online sales space created by a Vendor on the Platform.
  • "Plan": means the subscription plan chosen by the Vendor (Free or Pro).
  • "Commission": means the percentage charged by Seyllo on each sale made by the Vendor.
  • "Stripe Connect": means the integrated payment system enabling transaction processing and fund disbursement to Vendors.

Article 3 – Purpose

These ToS define the conditions under which Seyllo provides Vendors with:

  • Access to the Platform and its features
  • Hosting of their Store(s)
  • Product, order, and customer management tools
  • Automated delivery system via RCON protocol
  • Stripe Connect payment system integration
  • Analytics and statistics features
  • Technical support

Article 4 – Services Offered

4.1 Service Description

Seyllo provides Vendors with a technical platform enabling them to:

  • Create and customize one or more online Stores
  • Manage a Virtual Products catalog
  • Configure prices, promotions, and discount codes
  • Receive and manage orders
  • Automatically deliver Virtual Products via RCON protocol
  • Track sales and statistics
  • Manage team members with granular permissions
  • Connect a custom domain name
  • Create products with recurring billing (subscriptions)

4.2 Supported Games

Automatic delivery via RCON is available for the following games (non-exhaustive list):

  • Minecraft (Java, Bedrock)
  • GTA (FiveM, RedM)
  • Rust, ARK, DayZ, Conan Exiles, Valheim, 7 Days to Die
  • Garry's Mod, CS2, TF2, Left 4 Dead 2, Squad

4.3 Service Evolution

Seyllo reserves the right to evolve the Services, add or remove features, without this constituting a substantial modification of these ToS. The Vendor will be informed of any major evolution by appropriate means.


Article 5 – Plans and Pricing

5.1 Available Plans

Seyllo offers two subscription plans:

5.2 Commission

The Commission is calculated on the total amount of each sale made on the Vendor's Store, before deduction of Stripe payment fees.

The Commission is automatically deducted when processing each transaction via Stripe Connect.

5.3 Payment Fees

Stripe processing fees (approximately 1.4% + €0.25 for European cards) are borne by the Vendor and are deducted directly by Stripe on each transaction, in addition to the Seyllo Commission.

5.4 Currencies

Transactions can be made in the following currencies: EUR (default), USD, GBP, CAD, AUD, CHF, JPY, PLN, SEK, NOK, DKK, CZK, BRL, MXN.


Article 6 – Pro Subscription

6.1 Subscription

The Vendor can subscribe to the Pro Plan at any time from their dashboard. The subscription takes effect immediately after payment.

6.2 Payment

The Pro subscription is billed monthly at €9.99 including tax. Payment is made by credit card via Stripe.

6.3 Automatic Renewal

The Pro subscription is automatically renewed each month on its anniversary date. The Vendor will be automatically charged the subscription amount.

6.4 Cancellation

The Vendor can cancel their Pro subscription at any time from their dashboard or by contacting Seyllo at [email protected].

Cancellation takes effect at the end of the current subscription period.

The Vendor continues to benefit from the Pro Plan advantages (7.5% reduced commission) until that date. At the end of the period, the Vendor's account will automatically switch to the Free Plan and the applicable commission will increase to 15%.

6.5 No Refund

No refund will be granted for subscription periods that have begun, whether the cancellation is initiated by the Vendor or by Seyllo.

The Vendor acknowledges having immediate and complete access to Pro Plan features upon subscription, which justifies the absence of refund rights.

6.6 Plan Changes

Downgrading from Pro Plan to Free Plan (cancellation) takes effect at the end of the paid period.

Upgrading from Free Plan to Pro Plan takes effect immediately after payment.


Article 7 – Payment System and Payouts

7.1 Stripe Connect

Payments are processed via Stripe Connect. Each Vendor must create and connect their own Stripe account to receive payments from their Customers.

7.2 Payment Flow

During a sale:

  1. The Customer pays the total amount via Stripe
  2. Stripe deducts its processing fees
  3. Seyllo deducts its Commission (7.5% or 15% depending on the Plan)
  4. The balance is automatically transferred to the Vendor's Stripe Connect account

7.3 Payout Delays

Funds are paid to the Vendor's bank account according to standard Stripe delays, generally between 2 and 7 business days after the transaction.

7.4 Vendor Responsibility

The Vendor is solely responsible for:

  • Creating and managing their Stripe Connect account
  • Providing accurate banking information
  • Complying with Stripe's terms of use
  • Managing disputes, refunds, and chargebacks with their Customers

Seyllo does not intervene in the relationship between the Vendor and Stripe, nor in financial disputes between the Vendor and their Customers.


Article 8 – Vendor Obligations

8.1 General Obligations

The Vendor agrees to:

  • Comply with these ToS and the Platform's Terms of Use
  • Provide accurate and up-to-date information about their identity and activity
  • Use the Services in accordance with their intended purpose
  • Not interfere with the proper functioning of the Platform
  • Respect third-party rights and applicable legislation

8.2 Tax and Reporting Obligations

The Vendor is solely responsible for compliance with their tax and social obligations, including:

  • Declaring income from the Platform
  • Paying VAT where applicable
  • Issuing invoices compliant with regulations
  • Any mandatory declaration related to their status

Seyllo does not provide tax advice and disclaims any responsibility for the Vendor's failure to meet their obligations.

8.3 Virtual Products Compliance

The Vendor guarantees that the Virtual Products they offer:

  • Comply with the descriptions provided
  • Comply with the Terms of Use of relevant video game publishers
  • Do not violate any intellectual property rights
  • Are lawful and do not contravene any regulations

8.4 Customer Support

The Vendor is solely responsible for customer support to their Customers. Seyllo only provides technical support related to Platform operation.


Article 9 – Seyllo Obligations

9.1 Service Provision

Seyllo commits to providing the Vendor with the Services described in these ToS and to ensuring the proper technical functioning of the Platform.

9.2 Technical Support

Seyllo provides technical support accessible:

9.3 Best Efforts Obligation

Seyllo's obligations under these ToS constitute best efforts obligations. Seyllo does not guarantee:

  • Uninterrupted Platform operation
  • Complete absence of bugs or errors
  • Any level of sales or revenue for the Vendor
  • Permanent availability of third-party game servers

Article 10 – Liability

10.1 Limitation of Seyllo's Liability

Seyllo cannot be held liable for:

  • Temporary interruptions for maintenance or updates
  • Malfunctions beyond its control (outages, attacks, force majeure)
  • Loss of data or revenue by the Vendor
  • Disputes between the Vendor and their Customers
  • Disputes between the Vendor and Stripe
  • Sanctions imposed by video game publishers
  • Unavailability of the Vendor's game servers
  • RCON delivery failures related to Vendor configuration

10.2 Liability Cap

In any event, Seyllo's liability is limited to the total amount paid by the Vendor for the Pro subscription during the twelve (12) months preceding the triggering event.

For Vendors using the Free Plan, Seyllo's liability is excluded to the extent permitted by law.

10.3 Vendor Liability

The Vendor is solely responsible for:

  • Their use of the Services
  • The Virtual Products they offer for sale
  • Their relationships with their Customers
  • Compliance with regulations applicable to their activity
  • Consequences of violating these ToS

10.4 Indemnification

The Vendor agrees to indemnify and hold Seyllo harmless against any claim, complaint, action, or demand from third parties (including their Customers) resulting from their use of the Services or violation of these ToS.


Article 11 – Suspension and Termination

11.1 Termination by the Vendor

The Vendor can terminate their account at any time:

Account termination results in the closure of the Vendor's Store(s).

11.2 Suspension and Termination by Seyllo

In accordance with the Terms of Use, Seyllo reserves the right to immediately suspend or terminate a Vendor's account without notice in case of:

  • Violation of these ToS or the Terms of Use
  • Violation of applicable legislation
  • Fraudulent activity or suspicion of fraud
  • Behavior contrary to Seyllo's ethics or values
  • Non-payment of Pro subscription
  • Any situation Seyllo deems harmful to its image or interests

11.3 Consequences of Termination for Breach

In case of termination for violation of ToS or Terms of Use:

  • No refund of the Pro subscription will be granted
  • Commissions due remain owed to Seyllo
  • The Vendor remains responsible for ongoing disputes with their Customers
  • Seyllo may retain data necessary for dispute resolution and compliance with legal obligations

11.4 Data Retention

After termination, the Vendor's data will be retained in accordance with the Privacy Policy and legal retention obligations (notably 10 years for transaction data).


Article 12 – Intellectual Property

12.1 Seyllo's Rights

The Platform, its interface, features, source code, databases, and all elements comprising it are the exclusive property of LWCREATE.

Access to the Services does not confer any intellectual property rights on the Platform to the Vendor.

12.2 License of Use

Seyllo grants the Vendor a limited, non-exclusive, non-transferable, and revocable license to use the Services for the duration of their registration.

12.3 Vendor Content

The Vendor retains ownership of their content (texts, images, logos). They grant Seyllo a non-exclusive license to use this content for Platform operation purposes.


Article 13 – Personal Data

The processing of Vendors' personal data is carried out in accordance with the Privacy Policy accessible on the website.

Article 14 – Modification of ToS

Seyllo reserves the right to modify these ToS at any time.

Vendors will be notified of any modification by email or Platform notification at least 15 days before they take effect.

Continued use of the Services after the new ToS take effect constitutes acceptance thereof. In case of disagreement, the Vendor may terminate their account before the modifications take effect.


Article 15 – Applicable Law and Disputes

15.1 Applicable Law

These ToS are governed by French law.

15.2 Amicable Settlement

In case of dispute, the Vendor agrees to contact Seyllo to try to find an amicable solution:

15.3 Mediation

In accordance with articles L.612-1 et seq. of the French Consumer Code, consumer Vendors may use a consumer mediator. The contact details of the competent mediator will be provided upon simple request sent to [email protected].

15.4 Competent Courts

Failing amicable resolution, any dispute relating to these ToS shall be submitted to the exclusive jurisdiction of the French courts in the jurisdiction of LWCREATE's registered office.


Article 16 – General Provisions

16.1 Entirety

These ToS, together with the Terms of Use and Privacy Policy, constitute the entire agreement between Seyllo and the Vendor.

16.2 Partial Nullity

If any provision of these ToS is declared null, the other provisions remain in force.

16.3 Waiver

Seyllo's failure to exercise a right provided herein does not constitute a waiver of that right.

16.4 Assignment

The Vendor may not assign their rights and obligations without Seyllo's prior written consent. Seyllo may freely assign these ToS.
